Gregory F. Brucia is an associate in the Corporate Department of Bell, Boyd & Lloyd LLP. He concentrates his practice on representing corporations, limited liability companies and partnerships on formation and structuring issues, capital raising transactions, mergers and acquisitions, corporate governance, secured transactions, real estate, and general contract and business matters.
In addition, Mr. Brucia represents publicly traded companies on securities regulation and compliance matters related to equity and debt securities offerings, tender offers, mergers and acquisitions, proxy statements, shareholder meetings, corporate governance, periodic reporting under the Securities and Exchange Act of 1934 and compliance requirements of NYSE- and NASDAQ-listed companies. He represents issuers and underwriters in initial public offerings (IPOs), follow-on common stock offerings, preferred stock offerings, high-yield bond offerings and other securities offerings.
Prior to joining Bell Boyd, Mr. Brucia was an associate in the California-based law firm Fisher Thurber LLP, which focused its practice on corporate finance, securities, real estate and other corporate and commercial transactional matters. Previously, he was the senior corporate attorney of a large manufacturer of tissue and paper products. Prior to that he worked in New York as an associate in the Capital Markets Practice Group and the Corporate Finance Practice Group of two international law firms.
Mr. Brucia received his Juris Doctor with distinction from Hofstra University School of Law, where he received the Hofstra Service to the School Award, and was a member of the Hofstra Law Review where he served as editor-in-chief. He received his Bachelor of Science in economics with a concentration in finance from The Wharton School of Business at the University of Pennsylvania. He is admitted to practice in California and New York.
