Overview of Member Interactions

Indication of Interest (“IOI”)

Member posts an IOI on UnifiedMarkets (“UM”) Website

  • The posting is an IOI for the purchase or sale of a security, a business or business asset.
  • "IOI" is an indication of interest (aka as an invitation to discussions) for a private sale (i.e., not involving a public distribution) of an asset: all posted terms and conditions are indicative only and subject to further discussion and negotiations between interacting Members. UnifiedMarkets Membership Rules prohibit posting on the UM of firm quotes or “offers” for securities, as defined by the U.S. Securities Exchange Act of 1934

Discussions/Negotiations

Members use the website search engine to locate other Members' IOI postings and can contact the posting Member by clicking on the posting, which will automatically open to a screen that contains a broader description of the asset and a space for on-line text communications between the Members in their “Discussion Room”.

  • Discussion Room communications are confidential and encrypted
  • Members are anonymous to each other at the outset of their communications and can elect at any time to disclose their identities
  • Member communications are conducted by exchange of text messages through the UM server, or by voice or text messaging away from the UM Website
  • Members have the ability to request alerts or notifications advising them of a particular type of asset posting or request for discussions in response to a posting or that a Discussion Room message has been sent to them by another Member

Off-line Confirmation & Execution

Transactions in assets that have been posted on UM are effected (i.e., confirmed and settled) away from the Website through licensed settlement agents selected by the Members.

  • At any point in Discussion Room communications, the Members can agree to continue discussions off-line
  • Discussion Room communications can be terminated at any time at the election of a participant and the Members' communications will be deleted from the UM database
